Chapter 3 - The Boardroom Coup

Forty-eight hours after the dinner, the Boston financial district was ablaze with rumors.

The cover of the Boston Business Journal featured a striking photo of Grant Mercer being led away in handcuffs, under the headline: MERCER ENTERPRISES COLLAPSES: HEIR ARRESTED FOR ASSAULT AND MULTI-MILLION DOLLAR FRAUD.

At 9:00 AM on Monday morning, I walked through the glass doors of Mercer Enterprises' corporate headquarters in downtown Boston.

I was no longer wearing the muted, pale blouses Grant preferred. I wore a sharp, custom-tailored charcoal pantsuit, my dark hair styled elegantly over my collar to hide the medical bandage covering the burns on my neck. In my hand was a high-grade leather briefcase containing the voting rights for eighty-two percent of the company's outstanding shares.

The lobby was in total panic. Employees stood in small groups whispering, phones were ringing off the hooks, and security guards looked utterly bewildered.

When I stepped toward the executive elevator, the head of security, an older man named Hank who had worked for the Mercer family for twenty years, stepped into my path.

"Mrs. Mercer..." Hank said, looking uncomfortable. "I'm sorry, but Mr. Grant Mercer left strict orders before his arrest that you were not allowed in the building."

"Mr. Grant Mercer no longer has authority in this building, Hank," I said calmly, pulling a laminated court order from my briefcase. "As of 8:00 AM this morning, Apex Capital has executed its right to foreclose on the pledged equity of Mercer Enterprises. I am now the interim CEO."

Hank looked at the document, then looked at me. For three years, he had seen me walk through this lobby as Grant's quiet, dutiful wife—a woman who brought him lunch and sat silently in the back of board meetings. The authority in my voice now was something he had never witnessed.

He slowly stepped aside. "Eleventh floor, ma'am. The board of directors is currently meeting in emergency session."

"Thank you, Hank."

When the elevator doors opened on the eleventh floor, the sound of shouting was audible down the corridor.

I walked into the grand boardroom. The long glass table was surrounded by ten senior board members—all elderly men who had been loyal cronies of Grant's late father for decades. At the head of the table sat Richard Mercer, Grant's uncle and the vice-chairman of the board.

"I don't care what the media says!" Richard was shouting, slamming his fist on the table. "We are filing an emergency injunction to block this hostile takeover! Grant's wife is an unstable—"

The heavy oak doors swung open, and I stepped into the room, followed by Arthur Pendelton and a team of four corporate litigators.

The boardroom went dead silent.

Richard froze, his face turning an angry shade of purple. "Clara? What the hell are you doing here? This is a private board meeting! Get out before I have security throw you out!"

I walked to the head of the table, stopped right beside Richard's chair, and laid my briefcase flat on the glass surface.

"You can try, Richard," I said smoothly. "But since security works for Apex Capital as of fifteen minutes ago, I doubt they'll comply."

"This is absurd!" another board member, Harold Vance, blustered. "You're Grant's wife! You have no legal standing in this corporation!"

"I am Grant's estranged wife," I corrected, opening my briefcase and pulling out a stack of bound legal briefs. "And I am the managing director of Apex Capital, which currently holds eighty-two percent of your voting shares due to defaulted debt obligations signed by your chairman, Grant Mercer."

I tossed a copy of the brief in front of every single board member.

"Page three," I instructed, standing over them like a law professor addressing first-year students. "You'll find the forensic accounting report detailing how Grant embezzled twelve million dollars from the employee pension fund to cover his personal trading losses. Page seven details how three members of this very board—including you, Richard—received illegal kickbacks from shell companies in the Cayman Islands to approve those loans."

Richard's jaw dropped. The color completely drained from his face.

"You... you can't prove that," Richard stammered, his confident demeanor vanishing in an instant.

"I spent six months tracing the wire transfers, Richard," I said, leaning over the table, pressing my hands flat against the glass. "I have the bank statements, the IP addresses, and the signed affidavits from your Swiss escrow agents. In exactly ten minutes, the Securities and Exchange Commission will receive a copy of this entire dossier."

"What do you want?" Harold asked, his voice trembling with terror.

"Simple," I replied, sitting down at the head of the table—in the chair Grant had occupied for five years. "First, I accept the immediate resignations of Richard Mercer, Harold Vance, and Thomas Cole. Second, the remaining board members will vote to appoint me as interim Chief Executive Officer to lead the corporate restructuring. Third, you will cooperate fully with the federal prosecutors investigating Grant's financial crimes."

Richard stood up, his body shaking with fury. "You ruined my nephew! You destroyed this family!"

"Your family destroyed itself through incompetence and crime," I said, looking him dead in the eye. "I'm just the liquidator. You have five minutes to sign your resignation papers, Richard, or the FBI will arrest you in this room."

Five minutes later, Richard signed the paper, slammed his pen onto the table, and walked out of the boardroom in disgrace. The rest of the board followed suit, terrified for their freedom.

I sat alone at the massive glass table, looking out over the Boston skyline. The battle for the company was won, but I knew Grant and Evelyn were far from finished. They were wounded animals, and cornered animals always bite back.
