Chapter 4 - The Housekeeper's Secret

The next morning brought a gray, watery dawn that did little to clear the fog over Manhattan. At 8:00 a.m., the hospital waiting room was invaded by two men in dark, identical tailored suits carrying leather briefcases. Thomas Vance, the personal attorney for the Cole family estate, led the way, his face tight with professional anxiety.

"Ethan," Thomas said, slamming a heavy folder onto the table beside Rosa's cold coffee cup. "We have a massive legal complication. Julian Vance has called for an emergency session of the executive board at noon today. He’s invoking the incapacity clause in the corporate charter."

Ethan didn't look up from his laptop, where he was monitoring the encryption logs Marcus had sent him. "The incapacity clause applies to the CEO, Thomas. I'm perfectly capable."

"It applies to the controlling interest, Ethan," Thomas corrected him, his voice dropping to a harsh whisper. "Seven years ago, when you restructured the company to protect it from hostile takeovers, you transferred forty-nine percent of the voting shares to your mother to create a dual-key governance structure. You can't authorize the new infrastructure contract without her signature. And Julian knows she can't sign a napkin right now, let alone a federal security clearance."

Julian was planning a corporate coup. By freezing the infrastructure contract, he could argue to the institutional investors that Ethan’s family crisis was causing a material failure of leadership, allowing the board to vote in an interim chairman to execute the deal.

Rosa stood up from the sofa, having successfully transferred a waking Amara into a small chair with a box of crayons she had begged from a nurse. She walked over to the two men, her arms crossed over her apron dress.

"He can't take the company, Thomas," Rosa said, her voice steady.

Thomas looked at her, his corporate condescension slipping into his tone. "Rosa, please. This is an international securities matter. It’s a bit outside the scope of household management."

"Margaret signed a medical power of attorney and a temporary trustee designation fourteen months ago," Rosa said, ignoring the lawyer's tone completely. "She did it after her breast cancer scare. She didn't want Ethan to find out because he was in the middle of the European acquisition and she didn't want him to worry."

Ethan closed his laptop slowly, his eyes locked on Rosa. "She didn't tell me?"

"She never told you anything that would make you look back at Queens, Ethan," Rosa said gently. "She wanted you to keep running forward. But she wasn't stupid. She knew she was getting older. She went to a small firm in Brooklyn—not your corporate lawyers—and she drew up the paperwork."

"Who did she name as the temporary trustee?" Thomas asked, his pen already hovering over his legal pad.

Rosa looked at Ethan, her brown eyes carrying a mixture of pride and protective sorrow. "She didn't name you, Ethan. She said you already had too much weight on your shoulders and that if you had the shares, the board would just target you directly. She named me."
