Chapter 4 - The Boardroom Surprise

At nine o'clock the following morning, the glass-and-steel headquarters of Mercer Logistics in downtown Vancouver was buzzing with activity.
Evan Mercer walked through the executive floor wearing a tailored grey suit, though no amount of expensive fabric could hide the dark circles under his eyes or his pale, frantic expression.
"Get me Arthur Pendelton on the phone immediately!" Evan barked at his executive assistant as he marched toward the main boardroom. "Tell him I need an emergency injunction against my wife! She changed the locks on my house!"
"Mr. Mercer," his assistant stammered, holding a stack of urgent memos. "The board of directors is already inside the main conference room. They called an emergency meeting twenty minutes ago."
Evan paused, frowning. "An emergency meeting? I didn't call a board meeting."
"We did," a deep, resonant voice called out from the end of the hallway.
Evan turned sharply. Walking toward him was Julian Vance—Evelyn’s brother and the senior managing partner of Vance & Associates, accompanied by three representatives from the forensic auditing firm Deloitte.
"Julian?" Evan stuttered, trying to regain his composure, adjusting his silk tie. "What is this? If this is about Claire's dramatic outburst last night—"
"This is about corporate governance, Mr. Mercer," Julian interrupted, pushing open the double glass doors of the boardroom.
Inside sat the seven members of the Mercer Logistics board of directors. Sitting at the head of the long mahogany conference table—in the very chair Evan usually occupied—was Evelyn Vance.
"What the hell is she doing in my chair?!" Evan roared, pointing a finger at Evelyn. "Security! Get these people out of my building!"
"Sit down, Evan," Director Thomas, a silver-haired man who had been a loyal friend of my father, said coldly. "You don't own this building. And as of eight o'clock this morning, you no longer run this company."
Evan froze in his tracks. "What did you just say?"
Evelyn tapped her tablet screen, projecting a massive spreadsheet onto the wall-mounted 4K monitor behind her.
"Four years ago, Mercer Logistics accepted a two point eight million dollar capital injection from the Hartwood Estate," Evelyn explained to the board. "The loan agreement contained a default covenant: if the CEO engages in unauthorized self-dealing or commits financial fraud exceeding five hundred thousand dollars, the voting rights of the CEO's common shares are automatically transferred to the primary creditor."
"I didn't commit fraud!" Evan yelled, his face flushing crimson. "That money was an investment!"
"This morning at seven AM," Julian added, dropping a thick white binder in front of Director Thomas, "we filed a formal complaint with the British Columbia Securities Commission detailing four point six million dollars in unauthorized wire transfers from Mercer Logistics accounts to an unlisted entity in Grand Cayman registered under the name of Diane Mercer."
The board members gasped. Director Thomas looked at Evan with utter disgust. "You transferred company capital to your mother's personal offshore account?!"
"It was... it was a management consultation fee!" Evan stammered, sweat breaking out across his forehead. "She... she advises the company on private acquisitions!"
"Diane Mercer has no corporate license, no business degree, and has been listed as a dependent on your personal tax returns for five years," Evelyn shot back mercilessly. "By virtue of the Hartwood Covenant, Claire Hartwood now controls sixty-eight percent of the voting shares in Mercer Logistics."
Evelyn stood up, smoothing her suit jacket.
"As the majority shareholder representative, I hereby move to terminate Evan Mercer as Chief Executive Officer effective immediately, for cause, without severance."
"Seconded," Director Thomas said instantly.
"All in favor?" Evelyn asked.
Every single hand around the table went up, except Evan's.

"You can't do this!" Evan screamed, slamming his fists onto the table. "This is my family's company! My father founded this business!"
"And you ran it into the ground while stealing from the woman who saved it," Director Thomas said coldly. "Security is waiting in your office to escort you from the building, Evan. Hand over your keycard."
