Chapter 3 - The Boardroom Coup

On Tuesday morning, the corporate headquarters of Vance Enterprises was dead silent. The staff kept their heads down as I walked through the glass doors, flanked by Ruth Kaplan and two independent financial auditors from an external firm.
Daniel was sitting in the executive office, staring at a stack of frozen corporate accounts on his monitor. When he saw me enter, he stood up quickly, his face pale and lined with exhaustion.
"Mom, what is this?" he demanded, pointing at the screen. "The bank has frozen the secondary operating fund. We have vendor payments due by noon today. You're sabotaging the entire company!"
"No, Daniel," I said, sitting down in the leather chair opposite his desk—the chair that had belonged to my husband. "I am protecting the company from grand larceny. Ruth, present the findings."
Ruth laid out a series of corporate bank statements on the desk. "Over the past twenty-four months, Daniel, you have authorized twenty-eight separate wire transfers totaling four hundred and fifty thousand dollars to an entity called V-Style Innovations. That company is registered solely under Vanessa Vance’s maiden name. There are no corresponding invoices, no services rendered, and no board approval for these disbursements."
Daniel stumbled back against his desk. "That... that was an investment. Vanessa is launching a marketing branch that will benefit Vance Enterprises long-term. I have the authority as managing director to allocate development funds."
"You have the authority to manage day-to-day operations, not to siphon corporate assets into your wife’s shell company to fund her lavish lifestyle," I told him, looking him dead in the eye. "That is embezzlement. And because Vance Enterprises holds municipal contracts, it is a federal offense."
The door opened, and the three remaining board members—old colleagues of my late husband who had known Daniel since he was a child—walked in. Their faces were grim. They had already received the audit reports.
"Daniel," said Marcus Vance, Daniel's uncle and the senior board member. "Your father built this company on integrity. Your mother has supported your leadership despite your obvious shortcomings. But this... this is a betrayal of the entire family legacy. We are convening an emergency vote."
"You can't do this!" Daniel shouted, his voice echoing through the glass walls. "I run this place! You're all dinosaurs!"
"The bylaws are very clear, Daniel," I said quietly. "As the holder of fifty-one percent of the voting stock, I am casting my vote to terminate your employment as managing director effective immediately. You are barred from the premises, your corporate credentials are textually revoked, and your access to all digital systems has been permanently severed."

Daniel looked at the board members, then at me. The realization that he was completely powerless finally broke through his thick skull. His hands began to shake. "Mom, please... don't do this to me. Vanessa will leave me if I lose the company. She’ll take everything."
"Then it seems you chose the wrong partner to stand beside while my sauce was being poured down the drain," I said. "Pack your personal things, Daniel. Security will escort you out."
