Chapter 3 - The Audit Collapse

At 8:45 AM on Friday morning, the glass-and-steel conference room on the 50th floor of the Marlowe Technologies tower in Financial District was filled with smoke, pastries, and tension.
Ethan sat at the head of the long marble table, flanked by his Chief Legal Officer, Richard Sterling, and his Chief Financial Officer, Marcus Brody. Across from them sat three representatives from Temasek Holdings, led by Senior Managing Director Harrison Chen—a stern, impeccably dressed man whose fund managed over three hundred billion dollars globally.
"We are delighted to finalize the terms, Mr. Chen," Ethan said, flashing his signature executive smile. "With this fifty-million-dollar initial tranche, we will expand our logistics algorithm across seven major European ports."
Harrison Chen did not smile. He sat with his hands flat on a black leather folder.
"Before we sign the wire authorization, Mr. Marlowe," Chen said in a crisp, accented voice, "our compliance committee received a legal notice at six o'clock this morning."
Ethan blinked. "A notice? From whom?"
Chen opened his folder and slid a single-page document across the table. It bore the crest of Sterling & Mercer and was signed by Arthur Vance.
"It is a Formal Notice of Asset Dispute and Impending Intellectual Property Revocation," Chen stated. "It asserts that Marlowe Technologies does not own the core algorithm upon which your entire valuation is based."
Ethan’s face went pale. He scoffed nervously, turning to his Chief Legal Officer. "Richard, what is this garbage? Aegis Analytics is our internal holding shell."
Richard Sterling picked up the document, his eyes racing down the text. As he read, the color drained from his face until he looked like a ghost.
"Richard?" Ethan demanded, his voice rising sharply. "Tell him it's a nuisance filing from my ex-wife!"
"Ethan..." Richard whispered, his hand shaking. "Did you ever review the original Aegis Analytics corporate formation documents from six years ago?"
"No! You were supposed to handle all intellectual property filings!"
"We used the corporate shell provided by your wife’s family office at the time!" Richard stammered, sweat breaking out on his forehead. "Ethan... Aegis Analytics is not a subsidiary of Marlowe Technologies. It is an independent LLC owned entirely by the Eleanor Vance Revocable Trust."
The conference room fell into dead, suffocating silence.
Harrison Chen leaned forward, his dark eyes fixing Ethan with terrifying intensity. "Mr. Marlowe. Are you telling this committee that you negotiated a three-hundred-million-dollar investment, pledging core software as primary collateral, without owning the patent or the underlying copyright?"
"No! No, this is a technical misunderstanding!" Ethan shouted, standing up so fast his leather chair slammed against the wall behind him. "Claire wrote the code while we were married! It’s marital property! My legal team will file an emergency injunction immediately!"
"Section Four, Clause B of the Aegis License Agreement," Harrison Chen read directly from a document in his folder, "states explicitly that any attempt by the licensee to declare ownership over the licensed code, or to encumber the code as debt or equity collateral without the express written consent of the Licensor, results in the automatic and immediate termination of the commercial license."
Chen closed his folder with a loud snap.
"The license was revoked at midnight, Mr. Marlowe," Chen said coldly, standing up. "As of this moment, Marlowe Technologies has no legal right to run its software at the Port of Los Angeles, the Port of Newark, or anywhere else in the world. You are operating an illicit copy."
"Mr. Chen, please!" Ethan begged, sweating profusely, his hands outstretched. "Give me twenty-four hours! I will talk to Claire! She’s my wife—she’s carrying my children! She’s just emotional because of the divorce!"
Harrison Chen looked at Ethan with absolute disgust.
"A man who does not know who owns his own company is a fool, Mr. Marlowe," Chen said quietly. "A man who blames his pregnant wife for his own legal incompetence is a coward. Temasek Holdings is terminating all negotiations immediately. Our legal counsel will be filing a claim to recover the four million dollars we spent on legal and technical due diligence."
The three investors stood, picked up their briefcases, and walked out of the glass doors.
Ethan stood frozen in the center of the massive room, the silence pressing down on his chest like a lead weight. His phone on the table began to buzz violently.

URGENT: Port of Los Angeles servers just threw a core authentication error. The license key has been revoked from the master server in Zurich. The entire logistics platform is shutting down.
